These Terms of Service ("Terms") govern your use of cypressclinics.com and all related content, forms, and services (the "Services"), operated by Cypress Consultants, doing business as Cypress Clinical ("Cypress Clinical," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who We Are and What We Do

Cypress Clinical is a sourcing and consulting firm. We help medical practices, med spas, wellness clinics, and physician practices connect with independently licensed U.S. pharmacies and manufacturers. We are compensated by the pharmacies and manufacturers we refer clients to.

We do not manufacture, compound, dispense, or sell prescription medications. All products are supplied by independently licensed third parties and require a valid prescription issued by a licensed practitioner where applicable. Nothing on the Services is medical advice, a recommendation of any treatment, or an offer to sell a prescription drug.

2. Eligibility

The Services are intended for businesses and licensed professionals in the United States. By using the Services, you confirm that you are at least 18 years old and that any information you submit on behalf of a business is accurate and that you are authorized to submit it.

3. Information You Submit

When you submit a form or otherwise contact us, you agree to provide accurate, current, and complete information. Do not submit any patient health information or other protected health information through the Services. Our collection and use of your information is described in our Privacy Policy at https://cypressclinics.com/policies/privacy-policy.

4. Text Messaging (SMS) Terms

  • Program: Cypress Clinical sends text messages about your inquiry and account setup, such as a confirmation that we received your request and follow-up about scheduling your call. We also send a one-time verification code when you submit a form, to confirm your phone number.
  • How you opt in: You opt in by checking the SMS consent box on our website form and submitting it. The box is optional and unchecked by default. Consent to receive text messages is not a condition of any purchase.
  • Message frequency: Message frequency varies based on your interaction with us.
  • Costs: Message and data rates may apply, depending on your mobile plan.
  • Opt out: Reply STOP to any message to stop receiving texts. You will receive one confirmation message, and no further texts will be sent unless you opt in again.
  • Help: Reply HELP for help, or contact us at +1 307-342-4058 or info@cypressconsultant.com.
  • Carriers: Mobile carriers are not liable for delayed or undelivered messages.
  • Privacy: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for details.

5. No Guarantee of Results or Availability

Submitting a form does not create a client relationship or guarantee that we will provide services, that any pharmacy or manufacturer will accept your practice, or that any product, price, or turnaround time will be available. Any arrangements with pharmacies or manufacturers are governed by your separate agreements with them.

6. Third-Party Providers

We may refer you to independently licensed pharmacies, manufacturers, and other third parties. We do not control and are not responsible for their products, services, pricing, regulatory compliance, or conduct. You are responsible for evaluating any third party and for ensuring your practice's compliance with all laws and regulations that apply to you.

7. Acceptable Use

You agree not to misuse the Services, including by submitting false or misleading information, submitting someone else's phone number or information without permission, attempting to interfere with the Services or their security, or using the Services for any unlawful purpose.

8. Intellectual Property

All content on the Services, including text, graphics, logos, and design, is owned by or licensed to Cypress Clinical and is protected by intellectual property laws. You may not copy, reproduce, or distribute it without our written permission.

9. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by law, Cypress Clinical and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising from or related to your use of the Services or any third-party products or services. Our total liability for any claim related to the Services will not exceed one hundred U.S. dollars ($100).

11. Indemnification

You agree to indemnify and hold harmless Cypress Clinical and its owners, employees, and agents from any claims, damages, and expenses, including reasonable attorneys' fees, arising from your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Wyoming, and you consent to their jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Your continued use of the Services after changes are posted means you accept the updated Terms.
